Terms of Service for TractorLog Inc.
Effective Date: April 18, 2025

Welcome to TractorLog Inc. ("TractorLog," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our equipment maintenance platform (the "Platform"), which provides tools for tracking and reporting equipment maintenance for farms and individual technicians. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Use of the Platform

1.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Platform, you represent that you meet these requirements.

1.2 Account Registration

To access the Platform, you must create an account with your own email address or phone number. Each user must have their own account, and sharing accounts is prohibited. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

1.3 Permitted Use

The Platform is intended for business-related purposes, such as tracking and reporting equipment maintenance. You may only upload data related to your business operations. You agree not to use the Platform for any unlawful, harmful, or unauthorized purpose, including uploading non-business-related data or content that violates these Terms.

2. Platform Services

The Platform provides tools for equipment maintenance tracking and reporting. Certain features, such as premium tools or enhanced reporting, may require a subscription ("Premium Features"). We may also offer one-time purchases, such as QR codes for equipment identification. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice.

3. Payments

3.1 Premium Features

Premium Features are available via a subscription. Subscription fees are billed on a recurring basis (e.g., monthly or annually) as specified at the time of purchase. You authorize us or our third-party payment processor to charge your selected payment method for these fees.

3.2 One-Time Purchases

One-time purchases, such as QR codes, are charged at the time of purchase. Prices are as listed on the Platform.

3.3 Non-Refundable

All payments are non-refundable, except as required by applicable law. If you cancel a subscription, you may continue to access Premium Features until the end of the current billing period.

3.4 Price Changes

We may change the pricing for Premium Features or one-time purchases at any time. We will notify you of price changes for subscriptions in advance, and continued use after the change constitutes acceptance of the new pricing.

4. User Content

4.1 Ownership

You retain ownership of any data, including equipment maintenance logs or other business-related information ("User Content"), that you upload to the Platform. You grant TractorLog a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content in anonymized form for analytics and to improve the Platform's features and services.

4.2 Deletion

You may delete your User Content from the Platform at any time, subject to our data retention policies outlined in our Privacy Policy. Deleted content may be retained in anonymized form for analytics purposes.

4.3 Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of your User Content. We are not responsible for any errors, omissions, or consequences arising from your User Content.

5. Prohibited Conduct

You agree not to:

  • Share your account credentials or allow others to access your account.
  • Upload non-business-related data or content that is unlawful, harmful, or infringing.
  • Attempt to access, interfere with, or disrupt the Platform's systems or other users' accounts.
  • Use the Platform to transmit viruses, malware, or other harmful code.
  • Violate any applicable laws or regulations.

6. Termination

6.1 By TractorLog

We may suspend or terminate your access to the Platform at our sole discretion, with or without notice, if you violate these Terms, fail to make required payments, or engage in prohibited conduct. Upon termination, you must cease using the Platform, and any outstanding payment obligations remain due.

6.2 By You

You may terminate your account at any time by contacting us at [email protected]. Upon termination, you will lose access to the Platform, and we may delete your User Content, subject to our Privacy Policy.

7. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

No Liability for Equipment Outcomes: TractorLog is a maintenance tracking platform and does not assume any responsibility or liability for the performance, condition, or outcomes related to your equipment. Any decisions or actions you take based on the Platform's tools or data are at your sole risk. We are not liable for any damage, loss, or failure of equipment, whether due to maintenance practices, data inaccuracies, or otherwise.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACTORLOG AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THIS SECTION MAY NOT FULLY APPLY TO YOU.

9. Indemnification

You agree to indemnify, defend, and hold harmless TractorLog and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in Miami-Dade County, Florida, and you consent to the exclusive jurisdiction and venue of these courts.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on the Platform or by emailing you. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TractorLog regarding the Platform.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign these Terms or your rights under them without our prior written consent. We may assign these Terms at our discretion.
